Legally Binding Client Engagement Terms

Terms & Conditions of Service

Please review these Terms of Service carefully before booking or retaining Register Bharat for company incorporations, MCA filings, taxation, trademark registrations, or corporate advisory.

Effective Date:October 18, 2026
Statutory Legal Notice under Information Technology Act, 2000

This electronic document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. By accessing Register Bharat or booking any corporate legal, Chartered Accountancy (CA), Company Secretary (CS), or tax compliance engagement, you irrevocably agree to be bound by these Terms of Service.

1Acceptance & Engagement Scope

Register Bharat operates as a technology-enabled corporate legal advisory and statutory compliance portal owned and operated by Bizsoul Private Limited. Services are fulfilled by accredited professionals including in-house and partner Chartered Accountants (ICAI), Company Secretaries (ICSI), Advocates, and Trademark Agents.

By initiating a consultation, completing registration, uploading documents, or remitting fees, an enforceable professional engagement contract is formed between the client (hereinafter referred to as "Client", "You", or "Applicant") and Bizsoul Private Limited (operating under the brand name 'Register Bharat').

2Professional Retainer & Authority to Represent

The Client authorizes Register Bharat and its assigned legal advocates, CAs, and CS staff to act as authorized representatives before the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), Central Board of Direct Taxes (CBDT), Central Board of Indirect Taxes and Customs (CBIC), Controller General of Patents, Designs and Trade Marks (CGPDTM), and relevant state departments.

  • Preparation, drafting, verification, and digital signing (via applicant-consented DSC) of forms including SPICe+, RUN, DIR-3, AOC-4, MGT-7, Form 11, GSTR-1/3B, and TM-A.
  • Liaising with government scrutinizers, dealing officers, and replying to official clarification notices or resubmission mandates.
  • Executing board resolutions, consent letters (DIR-2), non-acceptance of deposits affidavits, and Declarations of Incorporators (INC-9) as instructed by the Client.

3Client Obligations & Document Authenticity

The Client warrants under penalty of law that all identity documents (PAN cards, Aadhaar OTP credentials, Passports, Bank Statements, Utility Bills, Rent Agreements, and NOCs) uploaded to the platform or provided via secure channels are authentic, genuine, and legally valid.

Section 448 & 449 Penalty Warning (Companies Act, 2013)

Any false statement or willful omission of material facts in any document filed with the MCA is punishable with imprisonment for a term up to 10 years and liable to fine under Section 447 of the Companies Act, 2013. Register Bharat disclaims all liability for false disclosures provided by the Client.

4Government Statutory Fees vs. Professional Charges

Register Bharat maintains 100% transparent fee segregation between professional service retainers and official government challans:

Professional Advisory Fees

Charges for drafting, legal consultations, compliance review, DSC issuance, accounting verification, and platform facilitation. Subject to 18% GST with input tax credit eligibility.

Government Statutory Challans

Official fees payable directly to MCA (BharatKosh), ROC, Stamp Duty Authorities (per state stamp rules), GSTN, or Trademark Registry. Accompanied by official Treasury/MCA receipts.

* Note: In incorporation packages where state stamp duty exceeds the standard base slab (e.g., in Punjab, Kerala, or Maharashtra for higher authorized capital), differential actual stamp duty will be billed at actuals with valid government challans.

5Processing Timelines & Portal Downtimes

Estimated turn-around times (e.g., 3-5 days for Pvt Ltd, 24 hours for GST, 1 day for DSC) are based on standard operating conditions and timely receipt of complete KYC verification from the applicant.

Timelines do not include delays attributable to:

  • MCA V3 Portal technical glitches, scheduled maintenance, or BharatKosh payment gateway downtimes.
  • Queries or objections raised by Registrar of Companies (ROC) scrutinizers regarding restricted company name words.
  • Jurisdictional physical site verification initiated by GST field officers under Rule 9 of CGST Rules.
  • Delays by applicant in completing biometric or Aadhaar OTP authentication.

6Deliverables, Challans & Certifications

Upon statutory approval by respective regulatory bodies, Register Bharat delivers digital authenticated copies to the Client's dashboard and registered email:

✔ Certificate of Incorporation (COI): Digitally signed by MCA ROC along with CIN, Corporate PAN, and TAN.

✔ e-MOA & e-AOA: Formal approved Charter documents as registered with the MCA.

✔ GST Registration Certificate: Form GST REG-06 with Annexures A & B.

✔ Official Payment Challans: Traceable MCA/BharatKosh SRN challan receipts with transaction references.

7Cancellation & Refund Policy

Our refund policy balances professional fairness with statutory realities:

Pre-Work Phase

If an engagement is cancelled prior to DSC token issuance, name reservation filing, or document drafting, 100% of the professional fee is refunded within 5-7 working days.

In-Process Phase

If drafting, legal advisory, or DSC issuance has commenced, a nominal professional retainer of ₹1,000 to ₹2,500 will be retained for professional hours expended, with the remainder credited back.

Post-Challan Phase

Once statutory fees (ROC challans, stamp duty, MCA name reservation, Trademark TM-A filing fees) are deposited to the Consolidated Fund of India or BharatKosh, no government fee refund can be processed as government portals do not refund generated challans.

8Limitation of Liability & Professional Indemnity

Register Bharat provides advisory and execution services with reasonable professional care. However, the decision to approve, grant, reject, or require modification of any corporate name, registration, tax assessment, or trademark rests entirely within the statutory discretion of the Registrar of Companies, Tax Assessing Officers, or the Trademark Examiner.

To the maximum extent permitted by applicable law, Register Bharat's aggregate monetary liability arising out of or related to any single engagement shall not exceed the net professional fee actually received by Register Bharat for that specific service.

9Governing Law & Dispute Resolution

These Terms and all service engagements shall be governed by, interpreted, and construed in accordance with the substantive laws of the Republic of India.

Any dispute, controversy, or claim arising out of or relating to this engagement shall first be referred to mutual conciliation. Failing amicable resolution within 30 days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 by a sole arbitrator mutually appointed. The seat and venue of arbitration shall be Jaipur, Rajasthan, India, and proceedings shall be conducted in the English language.

The courts situated at Jaipur, Rajasthan shall have exclusive territorial jurisdiction over any legal proceedings arising hereunder.
